Bridlewood Community Association By-laws (2024)

 

In 1978, the Government of Ontario issued Letters Patent to create the Bridlewood Community
Association (BCA) as a non-profit corporation. The BCA must operate in accordance with the
legal authorities granted by the Letters Patent and by any By-laws approved by the BCA
membership.

Also in 1978, the BCA members approved By-law #1 which created operating authorities for the
Board of Directors and addressed other legal matters. By-law #1 was subsequently revised five
times in minor ways over the years, with the last revision being approved in 2006. However, a
few years ago changes to the Ontario Government law governing non-profit corporations were
enacted. These legislative changes impacted the BCA.

In 2023, the BCA Board of Directors appointed a Committee to review the new Ontario
Government requirements and to draft any By-law changes needed. The Committee liaised with
key stakeholders and regularly informed the Board as to what significant changes were under
consideration.

In early 2024, the Committee submitted to the Board of Directors a set of three new draft By-
laws and asked the Board to “endorse” them in principle. In addition, the Board approved
posting the new draft By-laws to the BCA website for BCA members (and the general public) to
review and submit comments. This comment period closed in May 2024 with only a few minor
comments received.

At the June 11 Board of Directors meeting, the Board unanimously passed a motion approving
the three new By-Laws and cancelled the 2006 By-law #1. The three new By-laws are now
legally in effect pending final approval by the BCA members at the October 2024 Annual
Members Meeting.
